CONSTITUTION

 

ARTICLE I

 

Section 1

 

The name of this Association shall be the “NORFOLK NAVAL SAILING ASSOCIATION."   The names of the facilities comprising the Norfolk Naval Sailing Association shall be the "Naval Station Norfolk Facility" and the "Amphibious Base Little Creek Facility."

 

Section 2

 

 The Burgee of the Association shall be a pennant with a blue field and a gold horizontal stripe running from the hoist to the point the stripe having a vertical height equal to one-fourth the vertical height of the hoist.  The ratios of the hoist to the fly shall be 2 to 3.

 

ARTICLE II

 

Section I

 

The OBJECTIVES of the NORFOLK NAVAL SAILING ASSOCIATION are:

 

a. To encourage recreational and competitive sailing throughout the services.

 

b. To promote seamanship, piloting, navigation, and water safety.

 

c. To arrange with local authorities to provide, if practicable, berthing, launching, storage, and repair facilities for members' yachts in Naval Ports and other armed forces activities.

 

d. To organize opportunities for members to take part in all forms of yachting and to furnish members with advice and information.

 

e. To sponsor group activities within the scope of the objectives of the association as groups of members desire.

 

f. To encourage and promote liaison between members of this Association and other military and civilian recreational organizations.

 

g. To support the activities of and encourage the continued development of the U.S. Naval Sailing Association

 

ARTICLE III

 

Section 1

The membership of this Association may consist of Regular and Honorary members.

 

Section 2

 

Those persons eligible for Regular membership include all persons, their spouses and dependents over 16 years of age.

 

Each candidate for regular membership must apply in writing to the Secretary giving such information, as the application provided shall require.

 

Section 3

 

Honorary membership will be bestowed for one year. Honorary Members may be nominated by the Membership Committee for approval of the Executive Committee at any annual or regular meeting of the Association- Honorary Members shall not be eligible to vote or hold office in the Association.

 

ARTICLE IV

 

Section 1

 

The officers of the Association will be elected not later than the last scheduled General Membership meeting of each calendar year, and at such times as required to fill vacancies.  The term of office shall commence on the date of the first General Membership meeting following their election.  The elected officers shall consist of the Commodore, Vice-Commodore, two rear Commodores (one representing each facility), the Secretary, and the Treasurer.

 

Section 2

 

The Commodore may appoint chairmen to the following Standing Committees: Advisory, Material, Membership, Publicity, Race, Cruise, Hospitality, Training and Program.

 

ARTICLE V

 

Section I

 

Regular meetings of the Association shall be held monthly or as recommended by the Executive Committee and as directed by the Commodore. In general, the meeting place will be alternated between facilities.

 

Section 2

 

The Annual meeting of the Association shall be held in January at the time and place recommended by the Executive Committee and as directed by the Commodore.

 

Section 3

 

Special meetings may be called by the Commodore when recommended by the Executive Committee or upon the request of five or more Regular members.

 

Section 4

 

At all meetings of the Association three members of the Executive Committee plus seven additional Regular Members shall constitute a quorum.

 

Section 5

 

Duly constituted meetings will be only those meetings held as specified in Sections 1 through 4 of the Article.

 

Section 6

 

Rendezvous and other gatherings, both planned and otherwise, shall be encouraged as they provide the means to fulfill the objectives of the Association as stated in Article II

 

ARTICLE VI

 

Section 1

 

The management of the Association shall be vested in an Executive Committee made up of six elected officers plus the chairmen of the eight standing committees and the immediate Past Commodore. The Executive Committee may meet as often as directed by the Commodore, and at such meetings five members shall constitute a quorum for transaction of business.

 

Section 2

 

The Executive Committee shall make all appropriations, recommend time and place of meetings, perform all routine duties as directed by the Constitution and By-Laws and such other acts as are usually required of a managing body.

 

ARTICLE VII

 

Section 1

 

Administrative expenses of the Association will be met by payment of annual dues. The amount to be determined by the Executive Committee.

 

Section 2

 

Annual dues shall be due upon date of application for membership In the Association, prorated from the first day of the month in which application is made to 1 March following. Thereafter, annual dues are due on I March of each year. Any member whose dues have not been paid by a time period after I March as specified by the Executive Committee (normally 2 months) shall be dropped from the rolls of the Association.

 

Section 3

 

The Association is to be operated as a non-profit organization.

 

ARTICLE VIII

 

Section 1

 

This Constitution and By-Laws of the Association may be amended at any duly constituted meeting of the Association by two-thirds vote of those present provided: that the Regular Members have been given notice in writing of the proposed amendment at least 10 days prior to the meeting.

 

BY-LAWS

 

ARTICLE I

 

Section 1

 

The Commodore of the Association shall preside at the meetings of the Association, shall be chairman of the Executive Committee and ex-oficio member of other committees. He shall appoint the Chairmen of the Standing Committees, the Chainmen of Special Committees, Fleet Captains, and Special Representatives. Committee Chairmen shall appoint members of their committees.

 

Section 2

 

The Vice Commodore shall have such powers and duties as usually pertain to such an office and in the absence of the Commodore shall preside.

 

Section 3

 

The duties of the Rear Commodores shall be to promote and coordinate the activities of their respective facilities through the Standing Committees. In the absence of the Commodore and Vice Commodore, the senior Rear Commodore shall act in their stead. The Rear Commodore representing the Norfolk Facility shall be senior in odd numbered years and the Rear Commodore representing the Little Creek Facility shall be senior in even numbered years.

 

Section 4

 

The Secretary shall be the custodian of the permanent records of the Association, shall the minutes of the meetings, retain a current list of members, and make a full report thereof at meetings of the Association. The Secretary shall carry out such other duties as usually pertains to the Office of Secretary.

 

 

Section 5

 

The Treasurer shall be the custodian of the funds and other valuable properties of the Association, collect dues, keep an account of all receipts and expenditures, and make a full report thereof at meetings of the Association. The Treasurer shall carry out such other duties as usually pertain to the Office of Treasurer.

 

ARTICLE II

 

Section 1

 

Fleet Captains shall be responsible for the promotion and coordination of the activities of the members in the classes of boats for which they are appointed.

 

Section 2

 

The Advisory Committee will be consulted on all matters of major policy for assistance to the Executive Committee.

 

Section 3

 

The Material Committee shall be responsible for inspecting the material condition of buildings, grounds, piers, slips and floats connected with the Naval Station and Amphibious Base Sailing Centers. It shall report its findings and recommendations to the respective Directors of Special Services via the Commodore of the Norfolk Naval Sailing Association, as appropriate. The Materials Committee shall be responsible to the Treasurer for acquisition, distribution, and accounting for special materials required in support of the Association's activities and to enhance the members' morale.

 

Section 4

 

The Membership Committee shall be responsible to continually build the Association's membership, maintaining an accurate roster and appropriate member data file. It shall provide the Secretary with an updated roster of Association members reflecting their membership categories and other pertinent data extracted from the applications for membership, or otherwise voluntarily provided.

 

Section 5

 

The Publicity Committee will strive to assure that pertinent new coverage of all activities of the Association is provided, and will be responsible for publication and distribution of the Association's newsletter, “The Baggy Wrinkle." In addition, the Chairman will act as editor of "The Baggy Wrinkle."

 

Section 6

 

The Race Committee will plan, conduct, and report all CBYRA sanctioned events, and other races and regattas sponsored by the Association.  They will conduct or assist with other association events as appropriate.

 

Section 7

 

The Cruise Committee will plan, conduct and report all cruises for the Association, including NNSA participation in such local waterfront celebrations as Harborfest.

 

Section 8

 

The Hospitality Committee will support scheduled events and promote and coordinate the activities of members to provide a pleasant and sustaining environment for the conduct of all Association activities, and otherwise strive to enhance the generous and cordial reception of guests.

 

Section 9

 

The Training and Programs Committee will be responsible for the training programs, and shall provide for entertainment and/or educational portions of regular meetings.
